Terms of Service

Effective date: 1 March 2026

These Terms of Service ("Terms") govern your access to and use of the BantuziLegal platform. By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Definitions

"Platform" means the BantuziLegal web application and any associated APIs, mobile applications, or services. "Firm" means the legal practice or organisation that has subscribed to BantuziLegal. "User" means any individual authorised by a Firm to access the Platform. "Practice Data" means all data entered, uploaded, or generated by Users within the Platform, including client records, matters, documents, time entries, invoices, and related information.

2. Account Registration & Eligibility

To use BantuziLegal you must: (a) be at least 18 years old; (b) provide accurate and complete registration information; (c) maintain the security of your account credentials; and (d) be authorised to bind your Firm to these Terms if registering on its behalf.

You are responsible for all activity that occurs under your account. Notify us immediately at legal@bantuzilegal.com if you suspect unauthorised access.

3. Subscription Plans & Billing

3.1 Plans

BantuziLegal offers tiered subscription plans (Starter, Professional, Enterprise) priced per user per month in Zambian Kwacha (ZMW). Plan details, pricing, and feature availability are described on our Pricing page and may be updated from time to time.

3.2 Billing Cycle

Subscriptions are billed monthly or annually in advance. Annual billing provides a discount as described on the Pricing page. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.

3.3 Free Trial

New accounts receive a 14-day free trial with full access to their selected plan. No credit card is required to start a trial. At the end of the trial period, you must subscribe to continue using the Platform.

3.4 User Count

Billing is based on the number of active Users in your Firm. Adding or removing Users mid-cycle will result in prorated charges or credits applied to the next billing period.

3.5 Price Changes

We may adjust pricing with at least 30 days' written notice. Founding Customer plans receive a lifetime price lock as described in their agreement.

4. Acceptable Use

You agree not to: (a) use the Platform for any unlawful purpose; (b) attempt to gain unauthorised access to other Firms' data or any part of the Platform's infrastructure; (c) reverse-engineer, decompile, or disassemble any part of the Platform; (d) interfere with or disrupt the integrity or performance of the Platform; (e) transmit viruses, malware, or other harmful code; (f) use the Platform to store or transmit content that infringes any third party's intellectual property rights; or (g) resell, sublicense, or redistribute access to the Platform without our written consent.

Violation of these terms may result in immediate suspension or termination of your account.

5. Intellectual Property

5.1 Our IP

The Platform, including its source code, design, documentation, trademarks, and all related intellectual property, is and remains the exclusive property of BantuziLegal. These Terms do not grant you any ownership rights in the Platform.

5.2 Your Data

You retain full ownership of all Practice Data. By using the Platform, you grant BantuziLegal a limited, non-exclusive licence to process your Practice Data solely for the purpose of providing and improving the service. We will not access, use, or disclose your Practice Data except as described in our Privacy Policy.

6. Data Security & Tenant Isolation

Each Firm's data is logically isolated within the Platform. No Firm can access another Firm's data. We implement industry-standard security measures including encrypted transmission (TLS), hashed credentials (BCrypt), JWT-based authentication, role-based access control, and comprehensive audit logging. 7. Availability & Support

We aim to maintain 99.5% uptime for the Platform, excluding scheduled maintenance. We will provide reasonable advance notice of planned downtime. Support is available via email and our in-app support channel during business hours (Monday–Friday, 08:00–17:00 CAT). Enterprise plan customers receive priority support with faster response times.

We do not guarantee uninterrupted or error-free operation. In the event of extended outage, affected subscription periods may be credited at our discretion.

8. Termination

8.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access until that date.

8.2 By Us

We may suspend or terminate your account if you: materially breach these Terms; fail to pay fees when due (after a 14-day grace period); or engage in activity that threatens the security or integrity of the Platform.

8.3 Data After Termination

Upon termination, you may request an export of your Practice Data within 30 days. After 90 days, we will delete or anonymise your data in accordance with our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by Zambian law: (a) BantuziLegal's total aggregate liability for any claims arising from or related to these Terms or the Platform shall not exceed the total fees paid by your Firm in the 12 months preceding the claim; (b) we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity; (c) we are not liable for any loss resulting from your failure to maintain adequate backups of your Practice Data.

10. Indemnification

You agree to indemnify and hold harmless BantuziLegal, its officers, employees, and agents from any claims, losses, or damages (including legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; or (c) your violation of any third-party rights.

11. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Zambia. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to mediation, and failing that, to the courts of Zambia with jurisdiction in Lusaka.

12. Amendments

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree with any changes, you may terminate your subscription before the changes take effect.

13. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver. These Terms, together with our Privacy Policy and POPIA Compliance statement, constitute the entire agreement between you and BantuziLegal regarding the Platform.
